Milan Jakubcak is a Member in the CSG Law Tax Group. He advises on the tax aspects of mergers and acquisitions, investments, and restructurings, working closely with deal teams to structure efficient transactions and negotiate purchase agreement tax terms and post-closing mechanics. He also drafts tax provisions in operating agreements, partnership agreements, and shareholder agreements, tailoring language to address allocations, distributions, audit procedures, and other key tax considerations. In addition, Milan represents clients in federal and state tax audits, guiding them through audit processes, responding to inquiries, and negotiating resolutions with taxing authorities.

Milan’s experience encompasses a broad range of industries, including consumer products and retail, industrials and distribution, environmental and waste services, utilities, technology, and real estate. He has advised on transactions and restructurings involving both U.S. and international entities, navigating complex tax issues across multiple jurisdictions. Milan regularly collaborates with multidisciplinary teams—including legal, financial, and operational professionals—and works closely with outside advisors to address cross-border considerations, regulatory requirements, and business objectives. His approach streamlines execution from initial tax diligence and risk assessment through agreement negotiation, closing, and post-transaction integration, ensuring seamless coordination and practical solutions for clients operating in diverse and dynamic sectors.

Before joining CSG Law, Milan served as a manager in the Mergers and Acquisitions Tax groups of two multinational professional services companies.

Milan earned his LL.M. from New York University School of Law, his J.D. from Seton Hall University School of Law, and his B.A. from Rutgers, The State University of New Jersey. During his time at Seton Hall, he served as a student attorney in the Juvenile Justice Clinic, as an extern with the Office of Chief Counsel for the Internal Revenue Service, and as an intern with the U.S. District Court for the District of New Jersey.
