Practice Areas
Patrick D. Ouellette focuses his practice on advising private equity firms and investors.
He provides strategic counsel to clients, structuring acquisitions to mitigate adverse tax consequences, as well as performing due diligence and financial modeling to outline potential transactions. Patrick has experience with the tax implications of derivative hedging, the treatment of financial instruments, and drafting client memorandums, internal documents, and summarized deal documents such as prospectuses, credit agreements, partnership agreements and terms sheets.
As part of his practice, he also analyzes debt issuance and retirement, including writing memos on tax impact, constructing accrual schedules and on securitization of debt and cancelation of debt income related to distressed debt instruments. Patrick has also served as lead attorney on engagements, including point on communication with clients and overseeing junior staff.
Patrick earned his J.D. from Penn State Law and his Bachelor of Science, in Finance, at the University of Connecticut’s School of Business.
